Terms of service
These Terms of Use (hereinafter referred to as "these Terms") define the conditions for using the online shop (hereinafter referred to as "the Service") provided on this website by上海縁立起国際貿易有限公司(hereinafter referred to as "the Shop"). All registered users (hereinafter referred to as "Users") shall use the Service in accordance with these Terms.
**Article 1 (Application)**
These Terms apply to all relationships related to the use of the Service between the Users and the Shop.
In addition to these Terms, the Shop may establish various provisions (hereinafter referred to as "Individual Provisions"), such as rules for use. Regardless of their name, these Individual Provisions form part of these Terms.
If the provisions of these Terms conflict with the Individual Provisions, the Individual Provisions shall prevail unless otherwise specified in the Individual Provisions.
**Article 2 (User Registration)**
In the Service, a registration applicant agrees to these Terms, applies for user registration by the method prescribed by the Shop, and the Shop approves this application and notifies the registration applicant of the approval, thereby completing the user registration.
The Shop may not approve the application for user registration if it determines that the applicant falls under any of the following reasons, and it is not obligated to disclose the reasons.
- If false information is provided in the application for user registration
- If the application is from someone who has previously violated these Terms
- Any other cases where the Shop deems the user registration inappropriate
**Article 3 (Management of User ID and Password)**
Users shall manage their User ID and password for the Service at their own responsibility.
Users shall not transfer or lend their User ID and password to third parties under any circumstances, nor share them with third parties. If a login is made with a combination of User ID and password that matches the registered information, the Shop will consider it to be used by the registered User.
The Shop shall not be responsible for any damages caused by the use of User IDs and passwords by third parties, except in cases of willful misconduct or gross negligence by the Shop.
**Article 4 (Sales Contracts)**
In the Service, a sales contract is established when a User applies to purchase an item from the Shop and the Shop notifies the User of the acceptance of the application. The ownership of the item is transferred to the User when the Shop hands over the item to the delivery service.
The Shop may cancel the sales contract without prior notice to the User if the User falls under any of the following conditions:
- If the User violates these Terms
- If the delivery of the item is not completed due to an unknown delivery address or long-term absence
- Any other cases where the trust relationship between the Shop and the User is deemed to have been damaged
The payment method, delivery method, cancellation method of the purchase application, and return method for the Service shall be as separately determined by the Shop.
**Article 5 (Intellectual Property Rights)**
The copyrights and other intellectual property rights of the product photos and other content (hereinafter referred to as "Content") provided by the Service belong to the Shop and legitimate rights holders such as content providers. Users may not reproduce, reprint, modify, or otherwise use the Content without permission.
**Article 6 (Prohibited Acts)**
Users shall not engage in the following acts when using the Service:
- Acts that violate laws or public order and morals
- Acts related to criminal activities
- Acts that infringe the copyrights, trademark rights, and other intellectual property rights included in the Service
- Acts that destroy or interfere with the functions of the Shop's servers or networks
- Commercial use of information obtained through the Service
- Acts that may interfere with the operation of the Shop's services
- Unauthorized access or attempts thereof
- Collecting or storing personal information of other Users
- Impersonating other Users
- Providing benefits to antisocial forces related to the Shop's services, either directly or indirectly
- Any other acts deemed inappropriate by the Shop
**Article 7 (Suspension of Service Provision)**
The Shop may suspend or interrupt the provision of all or part of the Service without prior notice to the User if it determines that any of the following reasons exist:
- Maintenance inspections or updates of the computer system related to the Service
- If the provision of the Service becomes difficult due to force majeure such as earthquakes, lightning, fires, power outages, or natural disasters
- If the computer or communication lines are stopped due to an accident
- Any other cases where the Shop deems it difficult to provide the Service
The Shop shall not be responsible for any disadvantages or damages suffered by Users or third parties due to the suspension or interruption of the provision of the Service.
**Article 8 (Usage Restrictions and Deregistration)**
The Shop may restrict the use of all or part of the Service or deregister Users without prior notice if they fall under any of the following cases:
- If any provision of these Terms is violated
- If it is found that there are false facts in the registration details
- If the credit card registered as a payment method is suspended
- If there is a default in payment of fees
- If there is no response from the User for a certain period after contact from the Shop
- If there is no use of the Service for a certain period since the last use
- Any other cases where the Shop deems the use of the Service inappropriate
The Shop shall not be responsible for any damages incurred by Users due to actions taken by the Shop under this Article.
**Article 9 (Withdrawal)**
Users may withdraw from the Service through the prescribed withdrawal procedure.
**Article 10 (Disclaimer of Warranties and Liability)**
The Shop does not guarantee that the Service is free from factual or legal defects (including defects, errors, bugs, and infringements of rights related to safety, reliability, accuracy, completeness, effectiveness, fitness for a particular purpose, and security).
The Shop shall not be responsible for any damages incurred by Users arising from the Service. However, this disclaimer does not apply if the contract between the Shop and the User (including these Terms) regarding the Service constitutes a consumer contract as defined by the Consumer Contract Act. Even in this case, the Shop shall not be responsible for any special damages arising from special circumstances caused by default or tort due to negligence (excluding gross negligence) of the Shop (including cases where the Shop or the User foresaw or could foresee the occurrence of damages).
The Shop shall not be responsible for any transactions, communications, or disputes arising between Users and other Users or third parties in relation to the Service.
**Article 11 (Changes to Service Content, etc.)**
The Shop may change the content of the Service or discontinue the provision of the Service without notifying Users and shall not be responsible for any damages incurred by Users as a result.
**Article 12 (Changes to Terms of Use)**
The Shop may change these Terms at any time if it deems it necessary, without notifying Users. If a User starts using the Service after changes to these Terms, the User is deemed to have agreed to the changed Terms.
**Article 13 (Handling of Personal Information)**
The Shop shall appropriately handle personal information obtained through the use of the Service in accordance with the Shop's Privacy Policy.
**Article 14 (Notices and Communication)**
Notices or communications between Users and the Shop shall be conducted in the manner specified by the Shop. Unless otherwise specified by the Shop, the currently registered contact information shall be deemed valid, and notices or communications shall be deemed to have reached Users when they are dispatched.
**Article 15 (Prohibition of Transfer of Rights and Obligations)**
Users may not transfer or pledge their status under the usage contract or rights or obligations under these Terms to third parties without the prior written consent of the Shop.
**Article 16 (Governing Law and Jurisdiction)**
The interpretation of these Terms shall be governed by Japanese law. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to the Service.
In the event of any disputes arising in relation to the Service, the court having jurisdiction over the location of the Shop's head office shall be the exclusive agreed jurisdictional court.
